This role requires a highly organized and motivated person, who can assist in contractual matters, and have a specialization in negotiations & closure of complex contracts. 

 

How you will contribute -

 

Your responsibilities

  • Significant and comprehensive experience in domestic and international contracts drafting and negotiations based on varied business models with customers, vendors, and partners, including master services agreements, statements of works (SOWs), licensing agreements/software agreements, inter-company agreements, amendments, change orders, and NDAs.
  • Role involves negotiations directly with the customers and their attorneys and requires close interactions with the various cross-functional departments, including the business, sales, finance, and commercial teams while providing legal advisory as a business enabler to multiple functions.
  • Ability to effectively strategize and communicate risk, mitigation, and options to the business stakeholders and ensure timely decisions.
  • Periodically providing advice on a broad range of corporate, commercial, regulatory, compliance, data privacy, employment, litigation, and other legal issues of relevance to Ciena. 
  • Requires active participation and advice on the ongoing global strategic projects within the legal department and India business projects to support India's business vision and aspirations.
  • Assist on regulatory matters and strategic issues and assist in maintaining a compliance posture of business. Assumes additional responsibilities as assigned.
  • Advise on a host of business and corporate law requirements. Research legal issues and provide proactive, sound & professional legal advice.
  • Manage tracking systems for various types of contracts and complete contracts database
  • Assist in general administration and operations and other special projects as requested

 

Required Technical and Professional Expertise

  • Absolute commitment to business integrity and ethical conduct.
  • 11+ years of PQE, preferably in a top-tier or leading international firm or with solid in-house counsel experience with a multi-national corporation (US company preferred) in the telecoms, software, technology or telecom service provides/enterprise businesses preferred.
  • Preferred experience, understanding of government procurement process, and deep familiarity with government contracting terms.
  • Demonstrated ability to influence decision-making.
  • Demonstrated success in negotiating large and complex transactions in a sales-driven organization.
  • Ability to handle multiple matters concurrently.
  • Proficiency in written and spoken English.
  • Previous exposure to the Telecom-related industry is an advantage.
  • Excellent drafting and negotiation skills.
  • Able to work in an agile, dynamic, and fast-paced environment and to meet critical deadlines.
  • Proven ability to work in a client-centric, highly detail-oriented, with good analytical and communication skills, legal acumen, and business judgment.
  • Able to work well both independently and as part of a team.
  • Able to communicate well and work in a cross-functional team to achieve common goals.
  • Demonstrated ability to manage and communicate with senior executives and stakeholders.
  • Able to identify and escalate issues timely and appropriately.
  • Strong analytical and communication skills.
  • Independent and self-motivated.
